Who is a DA
Who is the Dental Assistant?
The Dental Assisting profession is a vital component of the dental healthcare delivery team. The US Department of Labor’s Occupational Outlook Handbook indicates that Dental Assisting is expected to grow at a faster-than-average pace through the year 2031 as noted here: Dental Assistants: Occupational Outlook Handbook: U.S. Bureau of Labor Statistics (bls.gov).
The Dental Assistant position is highly technical skilled work responsible for working under the supervision of dentists with a wide range of tasks in the dental office, ranging from patient care to administrative duties to laboratory functions. Work involves assisting a dentist engaged in performing general dentistry practices such as diagnostic, operative, preventive, and other dental procedures during the examination and treatment of patients.

The dental assistant performs many tasks requiring both interpersonal and technical skills. Although state regulations vary, responsibilities may include:
- Assisting the dentist during a variety of treatment procedures
- Taking and developing dental radiographs (x-rays)
- Asking about the patient’s medical history and taking blood pressure and pulse
- Serving as an infection control officer, developing infection control protocol, and preparing and sterilizing instruments and equipment
- Helping patients feel comfortable before, during, and after dental treatment
- Providing patients with instructions for oral care following surgery or other dental treatment procedures, such as the placement of a restoration (filling)
- Teaching patients appropriate oral hygiene strategies to maintain oral health; (e.g., toothbrushing, flossing, and nutritional counseling)
- Taking impressions of patient’s teeth for study casts (models of teeth)
- Performing office management tasks that often require the use of a personal computer
- Communicating with patients and suppliers (e.g., scheduling appointments, answering the telephone, billing, and ordering supplies)
- Helping to provide direct patient care in all dental specialties, including orthodontics, pediatric dentistry, periodontics, and oral surgery
Bylaws
Article I ‐ Name and Location
The name of this organization shall be the “American Dental Assistants Association” (hereinafter referred to as “the Association,” “this Association,” or “the ADAA”); a nonprofit corporation incorporated in the state of Illinois.
Article II ‐ Objectives
To advance the careers of dental assistants and to advocate for the dental assisting profession
in matters of education, professional activities, credentialing and legislation. To promote the
ideals and growth of the Association which aid in the accessibility and delivery of quality oral
health care to the public.
Article III ‐ Organization Structure
This Association may consist of State Associations, Local Component Organizations, Student Chapters, and a Federal Services Section.
Section 1. State Associations
- Organization. State Associations may be organized in each geographical area for the
purpose of furthering the objectives of this Association and aiding Local Component
Organizations and Member Study Clubs within their boundaries. - Name. A State Association should take its name from the constituent state or
territory of the United States of America. - Affiliation. Affiliation shall be granted upon approval by this Association.
Section 2. Local Component Organizations
- Organization. A Local Component Organization may be organized in a town, city,
county, or district in the geographical areas for the purpose of furthering the
objectives of this Association and those of the encompassing State Association. - Name. A Local Component Organization may be named for a town, city, county, or
district within the geographical area; however, no two (2) Local Component
Organizations within that area shall adopt the same name. - Affiliation shall be granted upon the following conditions: (1) approval by the
encompassing State Association; (2) approval by this Association.
Section 3. Federal Services Section
- There may be a Federal Services Section of this Association consisting of Federal
Services Members, organized for the purpose of furthering the objectives of this
Association.
Section 4. Student Chapters
- Organization. A Student Chapter may be organized at a post‐secondary dental
assisting program to provide support to student members, enhance the interaction
of students and schools with ADAA State Associations and further the objectives of
this Association. - Name. A Student Chapter should be named for the dental assisting program.
- Affiliation. Affiliation shall be granted upon approval by this Association.
- An ADAA Professional or Life member should be an advisor to the Student Chapter.
Article IV ‐ Membership
Section 1. Admission. Membership shall include those individuals who will support and
promote the objectives of this Association, regardless of diversity.
Section 2. Active Membership Categories. Membership may consist of the following
categories: Professional Membership, Student Membership, Life Membership, Federal
Services Membership and International Membership. ADAA’s Board of Directors retains the
right to review this from time to time and make recommended augmentations.
- Professional Membership. Professional membership may be granted to any dental
assistant which includes, but is not limited to, the Clinical Dental Assistant,
Administrative Dental Assistant, and Dental Assistant Educator, or any individual with
a history of experience working in a dental assistant capacity, who will support and
promote the objectives of this Association.- A professional member shall have the privilege of voting, holding elective office
and serving as chair or member of a council or committee. - Professional members shall pay annual national dues and state dues as
determined by the designated state organization affiliated with this Association.
- A professional member shall have the privilege of voting, holding elective office
- Student Membership. Student membership may be granted to any student enrolled in
a dental assisting program, or to a graduate of a dental assisting program enrolled fulltime
in either a program related to dentistry or in a college degree program, who will
support and promote the objectives of this Association. A student member shall have the privilege of serving as a member of a council or committee. Student members shall
pay annual dues. - Life Membership. Life membership shall be granted to a professional member who has
maintained continuous professional membership, or who has maintained continuous
professional membership interrupted by student membership, for a period of thirty‐five
(35) years and who will support and promote the objectives of this Association. All life
members shall have all of the privileges and benefits of professional membership and
shall pay National dues at a reduction to be reviewed from time to time and determined
by the Board of Directors. - Federal Services Membership. Federal Services membership shall be granted to only
those dental assistants who obtain membership through one of the United States
Federal Services branches having a contractual relationship with the ADAA.- A Federal Services member may be on active military duty or a civilian who is
currently employed by a branch of the United States Federal Services as a dental
assistant. - Federal Services members shall have the privilege of voting, holding elective office
and serving as chair or member of a council or committee. - Federal Services members shall not be required to pay State dues.
- Federal Services members shall receive benefits and services as outlined in the
contractual relationship with the ADAA.
- A Federal Services member may be on active military duty or a civilian who is
- International Membership. International Membership may be granted to any individual
who resides outside of the United States and will support and promote the objectives
of this Association.- International Members shall pay annual dues in U.S. dollars.
- International Members shall receive benefits and services as authorized by the Board
of Directors.
Section 3. Conferred Memberships. There can be the following categories of conferred
membership: Honorary and Emeritus.
- Honorary. Honorary membership may be conferred upon an individual who has
contributed substantially to the welfare of the dental assisting profession. To be
elected an honorary member, the individual shall be approved through a two‐thirds
(2/3) supermajority vote of the Board of Directors. Honorary members shall pay no
dues and shall have the privilege of serving as a member of a council or committee.- The ADAA shall maintain a list of every ADAA Honorary member for historical purposes.
- Emeritus. Emeritus Membership status shall be granted to a professional or life member
who has maintained continuous professional membership or has maintained continuous
professional membership interrupted by student membership for a period of at least 25
years and has retired from the field of dentistry/dental assisting or has become totally
and permanently disabled and wishes to refrain from the privileges of ADAA
Professional Membership on both the National and State levels. Emeritus Members
shall pay no dues.- The designation of “ADAA Member Emeritus” may be used by the member for the
rest of her/his natural life. - Emeritus members shall have the privilege of accessing all content published by the
ADAA to include ADAA continuing education courses. - ADAA Fellows and Masters achieving emeritus status may also maintain their ADAA
Fellow or Master designation.
- The designation of “ADAA Member Emeritus” may be used by the member for the

Article V – Dues
Section 1. Dues Assessments.
- The annual dues rate charged at the beginning of each fiscal year for all ADAA
membership classifications shall be recommended by the appropriate council or
committee and determined by the Board of Directors.- State dues rates are determined by each individual state. Any changes to the state
dues rate must be communicated to the ADAA Office by September 1 of each year.- Changes to state dues rates noticed to Central Office by September 1 will become
effective at the next dues assessment period.

Article VI ‐ Board of Directors
Section 1. Composition.
- Voting members of the Board of Directors shall be composed of the five (5) elected
officers, and six (6) elected directors. - The ex‐officio non‐voting member of the Board of Directors shall be the Executive
Director.
Section 2. Meetings.
- Meetings of the Board of Directors may be face‐to‐face or electronic. The number and
format of the meetings shall be determined by the Board of Directors. - Special meetings of the Board of Directors may be called at any time by the President
or upon written request of two‐thirds (2/3) of the voting members of the Board. Notice shall be given prior to the meeting. Special meetings of the Board of Directors
can be electronic.
Section 3. Quorum. Two thirds (2/3) of those currently serving on the Board of Directors shall
constitute a quorum at any meeting.
- If urgent business requires a vote when the Board of Directors is not in session, an
emergency electronic ballot authorized by the President may be taken.- For an emergency electronic ballot to be valid, two‐thirds (2/3) of the voting
members of the Board of Directors must participate in the balloting. - A two‐thirds (2/3) supermajority vote is required to pass an emergency electronic
ballot. Such action shall be ratified at the next meeting of the Board of Directors.

- The Board of Directors shall be the governing body of this Association.
Article VII ‐ Executive Committee
Section 1. Composition. The Executive Committee shall be composed of the President,
President‐Elect, First Vice President, Second Vice President, and Immediate Past President. The
Executive Director shall be an ex‐officio member of the Executive Committee without vote. The
President has the discretion to invite participants to join Executive Committee meetings as
warranted, as nonvoting participants.
Section 2. Authority. The Executive Committee shall execute business between the meetings
of the Board of Directors as required for the proper administration of the affairs of the
Association. All decisions shall be reported to and ratified by the Board of Directors.
Section 3. Meetings. The Executive Committee shall meet at the request of the President or at
least three (3) members of the Executive Committee. The Executive Committee Meetings may
be electronic, and participants can be required to sign a confidentiality agreement.
Section 4. Quorum. Two‐thirds (2/3) of the voting members of the Executive Committee shall
constitute a quorum at any meeting.
Article VIII – Officers
Section 1. Number and Titles. The elected officers shall be five (5) in number: President,
President‐Elect, First Vice President, Second Vice President, and Immediate Past President.
The President shall be the chief elected officer and official spokesman of the Association.
Section 2. Eligibility.Section 2. Eligibility.
- Professional, Life, and Federal Services members shall be eligible to serve as an officer.
- The President and President‐Elect should have served in a leadership capacity on the
ADAA Board of Directors for a full term as an elected officer or Director. (A former
District Trustee is considered an elected officer) - The First and Second Vice Presidents should have served in leadership capacities with
the ADAA that may include, but not be limited to, councils and committees, state
associations and/or components and local affiliates.
- The President and President‐Elect should have served in a leadership capacity on the
- ADAA members who are also employees of the ADAA are not eligible to serve as an
officer of the ADAA.
Section 3. Nominations.
- The nominating committee shall present a slate of one (1) or more qualified
candidates for each office to be filled. - In the event there are no candidates for office, the office shall be declared vacant.
Vacancies shall be filled in accordance to established guidelines of each respective
office.
Section 4. Election. A general election may be by electronic ballot, in the established election
year, with each ADAA Professional, Life, or Federal Services member in good standing eligible
to register to ballot for one (1) candidate for each elected office. The winning candidate will
be selected by majority of votes cast by the voting membership. In the event of a tie, a
runoff election would occur until one candidate assumes the majority of vote.
Section 5. Term of Office. The term of office for all officers may be one (1) election year.
- An election year begins after electing the next slate of officers. The duration of the
election year shall be determined by the Board of Directors. - The elected officers shall assume their duties as determined by the Board of Directors.
Section 6. Duties. Officers shall be voting members of the Board of Directors and shall
perform the duties as adopted by the Association’s governing and procedural documents.
Section 7. Vacancies.
- In the event the office of President shall become vacant, the President‐Elect shall become President for the unexpired portion of the term and shall serve a full term as President during the subsequent election year.
- In the event the office of President‐Elect shall become vacant, it shall remain vacant for
the unexpired portion of the term. At the next established election, the office of
President shall be filled in the same manner as that provided for the nomination and
election of officers. - Vacancies in the office of First Vice President and Second Vice President shall be filled by
recommendation and a majority votes of the Board of Directors. - The role of Immediate Past President shall not be filled in the event of a vacancy.
Section 8. Removal for Cause. The Board of Directors, by a two‐thirds (2/3) supermajority
vote, may remove any officer from office for just cause.
- Any Officer shall be immediately removed from office when incurring a third absence for
any reason from a duly noticed Board of Directors meeting.
Article IX – Directors
Section 1. Eligibility. Any ADAA Professional, Life, and Federal Services member in good
standing may serve as a Director. ADAA members who are also employees of the ADAA are
not eligible to serve as a Director of the ADAA.
Section 2. Nominations. Director nominees shall be submitted to the ADAA Office by a date
to be determined for a general election. The Nominating Committee shall solicit nominations
and confirm eligibility for all nominations received.
Section 3. Election. A general election may be by electronic ballot, in the established election
year, with each ADAA Professional, Life, and Federal Services member in good standing to
register to ballot for one (1) candidate. Two (2) Director candidates will be selected each
election year by majority of votes cast by the voting membership. In the event of a tie, a
runoff election between the tied candidates would occur to determine the two candidates
elected by majority vote.
Section 4. Term of Office. The term of office for all Directors shall be for a term of three (3)
election years. Directors may be elected to serve a total of two (2) consecutive 3‐year
Director terms.
- An election year begins after electing the next slate of board members. The duration of
the election year shall be determined by the Board of Directors. - Board member terms shall be staggered with two (2) board members rotating off in any given election year.
Section 5. Duties. Directors shall be voting members of the Board of Directors and shall
perform the duties as adopted by the Association’s governing and procedural documents.
Section 6. Vacancies. In the event the office of a Director shall become vacant, the board of
directors, by two‐thirds (2/3) supermajority vote, shall appoint another ADAA member in
good standing to fill that seat for the remaining duration of term.
- A director who has previously served two (2) three‐year terms may be appointed by the
Board to fill any Director vacancy.
Section 7. Removal for Cause. The Board of Directors, by a two‐thirds (2/3) supermajority
vote, may remove any Director from office for just cause.
- Any Director shall be immediately removed from office when incurring a third absence
for any reason from a duly noticed Board of Directors meeting.
Article X ‐ Annual Session
Section 1. The ADAA membership will meet annually, in person or electronically, to
participate in forums that are structured to allow members to voice opinions to the Board of
Directors regarding issues relevant to the Association. Such issues may include, but are not
limited to, ADAA initiatives, fiduciary obligations, ADAA policies, and matters related to the
dental assisting profession.
- Members shall have the opportunity to meet and question candidates for elected
office prior to the general election for the upcoming election year. - Convocation of new Fellows and Masters may occur during the Annual Session.
- Educational events and social events may be included during any Annual Session if
resources are available for producing such events.
Section 2. The Board of Directors shall provide for the Annual Session and determine the
date, time and format of the session.
- There shall be at least thirty (30) days in advance notice to all current ADAA members
in good standing. - The Board of Directors may establish registration fees to be paid by participants of the
Annual Session as deemed necessary.
Article XI ‐ Councils
Section 1. Councils. The following Councils appointed by the President and approved by the
Board of Directors shall exist, but are not limited to Membership, Education and Professional
Development, Governance, Finance, and Annual Session. The mission of each respective
council shall be reviewed by the Board of Directors from time to time.
Section 2. Other Committees and Councils. The Board of Directors may create such other
special committees, councils, subcommittees, task forces, or ad‐hoc committees as shall be
deemed necessary. The duties of any such bodies shall be prescribed by the Board of
Directors upon their creation.
Article XII ‐ Contractual Employee
The Board of Directors shall employ an Executive Director whose conditions of employment
shall be specified by the Board of Directors.
Article XIII – Finance
Section 1. Fiscal Year. The fiscal year of this Association shall be a calendar year.
Section 2. Bonding Trust of surety bonds for officers, directors, and employees of the
Association shall be secured by the Board of Directors, and the cost shall be paid by the
Association.
Section 3. The Board of Directors shall have the authority to adopt an annual operating budget
covering all activities of the Association for each fiscal year.
Section 4. Audit. The Board of Directors shall have all accounts of the Association audited no
less than annually by an independent auditing and/or accounting firm. Upon completion of the
audit, a financial report for the year just completed shall be made available to the membership.
Article XIV ‐ Indemnification of Officers, Directors, Employees and Agents
To the full extent permitted by any applicable law, this Association shall indemnify each person
made or threatened to be made a party to any threatened, pending or completed civil, criminal,
administrative, arbitration, or investigative proceeding, including a proceeding by or in the right
of this Association, by reason of the former or present capacity of the person as:
- A director, officer, employee, or member of a committee of this Association or,
- A director, officer, partner, trustee, employee or agent of another organization or
employee benefit plan, who while a director, officer, or employee of this Association, is
or was serving the other Association at the request of this Association or whose duties
as a director, officer or employee of this Association involve or involved such service to
the other Association, against judgments, penalties, fines (including, without limitation, excise taxes assessed against the person with respect to an employee benefit plan), settlements, and reasonable attorney’s fees and disbursements, incurred by the person in connection with the proceeding.
Indemnification provided by this section shall continue as to a person who has ceased to be a
director, officer, employee, or group member, shall inure to the benefit of the heirs, executors,
and administrators of such person, and shall apply whether the claim against such person arises
out of the matters occurring before the adoption of this section. Any indemnification realized
other than under this section shall apply as a credit against any indemnification provided by this
section.
This Association may, to the full extent permitted by applicable law from time to time in effect,
purchase and maintain insurance on behalf of any person who is or was a director, officer,
employee or a member of a group of this Association against any liability asserted against such
person as incurred by such person in any such capacity.
Article XV – Dissolution
If at any time this Association shall be dissolved, any funds remaining shall be distributed as
determined by a two‐thirds (2/3) supermajority vote of a Special Meeting of the Board of
Directors.
- The Association shall use its funds only to accomplish the objectives and purposes
specified and no part of said funds shall inure, or be distributed, to the members of this
Association. - The Association shall distribute any remaining funds to a 501(c)(3) or 501(c)(6)
organization providing activities or services that benefit the dental assisting profession
or dental patients.
Article XVI ‐ Amendments
Section 1. Amendments by Board of Directors. These Bylaws may be amended by the Board
of Directors by two‐thirds (2/3) supermajority vote.
Section 2: Prior to adopting any amendment that a) fixes voting rights of members, b) fixes
quorums for meetings, c) amends procedures for removing officers and directors, d) amends
procedures for filling vacancies for officer and director positions, e) fixes the number of
officers and directors or their classifications, f) amends qualifications of officers and directors,
and/or g) amends the term of office for officers or directors, the following must be met:
- The amendment must have been reviewed by the appropriate subcommittees for
possible conflicts in governance and policy; and - The Board of Directors must schedule a membership forum and solicit opinions
about the amendment(s) from constituents prior to voting.- 30 days’ notice of the proposed amendments and the forum must be given to
all members.

Article XVII ‐ Discipline
Section 1. Complaints. Complaints alleging a violation of the ADAA Principles of Ethics and
Code of Professional Conduct by a member of the ADAA shall be administered by the Board of
Directors during an Executive Session.
- The Board of Directors shall have the authority to appoint a special committee to
review the charges of the alleged violation and render an opinion as to the disciplinary
action required. - The Board of Directors shall have the final authority to impose any recommended
discipline against a member. - All official records and minutes pertaining to any disciplinary procedure shall remain
sealed and confidential regardless of the outcome.
Section 2. Appeals. A member has the right to file a formal appeal to any disciplinary
decision within thirty (30) days of the final determination.
- The written appeal shall be delivered in written format to the President, President Elect
and the Executive Director of ADAA. - Hearings on appeals shall be conducted during a regular meeting of the Board of
Directors during an Executive Session. - All official records and minutes pertaining to any appeals process shall remain sealed
and confidential regardless of the outcome.
Section 3. Final Report. A final report of any disciplinary action taken against a member
shall be made during a regular meeting of the Board of Directors and recorded in the official
minutes.

- The name of the member disciplined,
- The disciplinary action taken, and

Article XVIII ‐ Parliamentary Authority
A. Robert’s Rules of Order Newly Revised (Current Edition) shall be the parliamentary authority for this Association and shall be applicable in all cases where it does not conflict with the governance structure of the Association.
Policies & Resolutions of the ADAA
With the total revision of the ADAA Bylaws adopted by the 1979 House of Delegates and the subsequent revision of the Manual of Procedures, the Policies and Resolutions of the ADAA also required revision.
In the process of revision, all policies prior to 1974 were rescinded by the 1980 House of Delegates, and the revised forms of these policies were adopted by the 1980 House of Delegates. The policy statements and resolutions are indexed by topic. This document will be updated annually or as necessary noting the year of review in the title, and the year of adoption by the House of Delegates at the end of each policy statement or resolution.

Education & Credentialing Policy
ADAA is the voice of dental assistants to the public and to all professional communities of interest. ADAA in collaboration with other notable professional organizations is working to advance and promote initiatives for quality care and patient protection in meeting the current and changing needs of the dental community.
Our ability to be flexible and open-minded in adapting to the evolving health care environment is critical to our future as allied dental professionals and to best serve the public.
The ADAA is focused on two major themes; more standardized credentialing and education of dental assistants.
ADAA Principles of Professional Ethics
FOREWORD: The Principles of Professional Ethics lists legal and ethical guidelines expected by patients, employers, employees, and, in many areas, required by regulatory boards.
- Cause no harm;
- Uphold all federal, state, and local laws and regulations;
- Be truthful and honest in verbal, financial, and treatment endeavors;
- Recognize and report signs of abuse to proper authorities;
- Assist in informed decision-making of treatment options; while respecting the rights of patients to determine the final course of treatment to be rendered;
- Do not discriminate against others;
- Support, promote and participate in access to care efforts through education, professional activities and programs;
- Deliver optimum care utilizing professional knowledge, judgment, and skill within the law;
- Be compassionate, respectful, kind, and fair to employers, co-workers, and patients;
- Refrain from denigrating by word, print, or in electronic communication his/her employer, workplace, or colleagues at all times;
- Create and maintain a safe work environment;
- Assist in conflict management when necessary to maintain harmony within the workplace;
- Strive for self-improvement through continuing education;
- Strive for a healthy lifestyle that may prevent physical or mental impairment caused by any type of illness;
- Refrain from any substance abuse;
